About Brandegree
Brandegree SARL is an independent brand systems studio based in Tangier, Morocco, working with clients worldwide.
In these Terms, “Brandegree”, “we”, “us” and “our” refer to Brandegree SARL. “You” refers to any person using this website or engaging our services. “Client” refers to the person or organisation named in an accepted project agreement.
A “Project Agreement” means any proposal, scope of work, estimate, order form or contract expressly accepted by Brandegree and the Client.
02
Scope and contractual hierarchy
These Terms apply when you browse this website, contact us or engage Brandegree for a project. The website provisions apply from the moment you use the website. Client-specific obligations begin only when a Project Agreement has been accepted.
If documents conflict, the following order applies:
- The accepted Project Agreement
- These Terms
- Other information published on this website
The Project Agreement always prevails for the relevant project. A Client’s purchasing terms or internal policies do not modify our agreement unless Brandegree expressly accepts them in writing.
03
Services and project enquiries
Brandegree provides brand strategy, naming, identity systems, motion systems, digital activation and related creative or consulting services.
Website descriptions and portfolio examples are provided for general information. They do not create a promise that every project will include the same process, deliverables, timing or results.
An enquiry, conversation or proposal request does not create a binding engagement. A project begins only when the applicable Project Agreement has been accepted and any stated onboarding or advance-payment requirements have been completed.
We may decline an enquiry where the scope, timing, budget, sector or potential conflict is not suitable.
04
Project scope and collaboration
Each Project Agreement defines the scope, deliverables, milestones, revision rounds, dependencies, responsibilities and expected schedule.
Both parties agree to appoint an authorised contact and provide the information, materials, decisions and consolidated feedback reasonably required to progress the work.
Delays in feedback, approvals, access or Client-supplied materials may move the schedule. Requests outside the agreed scope may require a revised timeline and additional fees, which must be approved before the additional work begins.
Brandegree may work with appropriate employees, collaborators or specialist subcontractors while remaining responsible for the services assigned to us.
05
Fees and payments
Project fees, currency, taxes, expenses and payment dates are stated in the relevant Project Agreement. Unless expressly stated otherwise, quoted fees exclude applicable taxes and third-party costs.
Invoices must be paid by the date shown. If an invoice remains overdue after written notice, Brandegree may pause work and adjust the delivery schedule until payment is received.
The Client is responsible for transfer and intermediary bank charges unless agreed otherwise.
Any advance payment, cancellation charge, rescheduling condition or refund entitlement will be defined in the Project Agreement and remains subject to applicable mandatory law. Fees already earned and approved third-party costs remain payable.
06
Deliverables and intellectual property
Each Project Agreement identifies the final deliverables and the rights granted to the Client.
Any agreed assignment or licence takes effect only after Brandegree has received full payment for the relevant work. Until then, all rights remain with Brandegree or the applicable rights holder.
Brandegree retains ownership of its pre-existing materials, working methods, know-how, internal tools, templates and reusable systems. The Client receives the rights reasonably required to use any such material only where it forms part of an approved final deliverable.
Drafts, unused concepts, rejected directions and exploratory work remain the property of Brandegree unless expressly agreed otherwise. Editable, production or source files are included only when specifically listed in the Project Agreement.
07
Client materials and third-party licences
The Client confirms that it owns or has permission to use every name, text, image, logo, font, dataset and other material supplied to Brandegree, and that the material can lawfully be used for the project.
The Client remains responsible for the accuracy of supplied information and for claims arising from materials or instructions it provides, except to the extent caused by Brandegree’s unauthorised use.
Final deliverables may include third-party fonts, software, photography, stock assets, code, plugins or platform services. These remain subject to their own licences, restrictions, renewals and fees. We will identify material third-party requirements where reasonably possible.
08
Confidentiality and portfolio use
Each party will protect confidential information received from the other and use it only for the relevant project. This obligation does not apply to information already public, lawfully known, independently developed or required to be disclosed by law.
Unless a written confidentiality agreement or embargo says otherwise, Brandegree may show the Client’s name, logo, non-confidential project description and publicly released final work in its portfolio, social channels, credentials, press communications and award submissions.
We will respect agreed launch dates and will request approval before publishing confidential performance data or private commercial information.
09
Website access and acceptable use
You may browse the website, share direct links and download material that is expressly made available for that purpose.
You must not:
- interfere with the website’s operation or security;
- attempt unauthorised access to any system or account;
- introduce malicious or harmful code;
- use the website for unlawful, fraudulent or misleading activity;
- copy, scrape, reproduce, resell or commercially exploit its content without permission, except for ordinary search-engine indexing or as permitted by law;
- misrepresent an association with Brandegree.
We may restrict access where reasonably necessary to protect the website, our rights or other users.
10
External links and platforms
This website may link to third-party websites, portfolio platforms, social networks or digital services. Those services operate under their own terms and privacy practices. A link does not mean that Brandegree controls or guarantees the external service.
Our projects may also rely on hosting providers, software, plugins, fonts, analytics, artificial-intelligence tools or other third-party platforms. Unless the Project Agreement states that Brandegree will manage them, the Client remains responsible for its accounts, subscriptions, licences and platform compliance.
11
Availability, warranties and liability
Brandegree will provide agreed professional services with reasonable care and skill.
The website is provided on an “as available” basis. We aim to keep it accurate and accessible but cannot guarantee uninterrupted operation, permanent availability or freedom from every error. Website content is general information and is not legal, financial or regulatory advice.
To the fullest extent permitted by law, Brandegree is not liable for indirect or consequential loss arising solely from the use or temporary unavailability of this website.
Liability relating to a paid project is governed by its Project Agreement. Nothing in these Terms excludes liability or statutory rights that cannot lawfully be excluded.
Neither party is responsible for delays caused by events reasonably outside its control. This does not remove obligations relating to accrued payment, confidentiality or intellectual-property rights.
12
Privacy and cookies
Our collection and use of personal information, including our use of cookies and similar technologies, are explained in our Privacy Policy.
Please do not send sensitive personal information unless it is necessary for a project and Brandegree has requested an appropriate secure method.
13
Changes, governing law and disputes
We may update these Terms to reflect changes to the website, our services or legal requirements. The current version and effective date will always appear on this page.
Updates apply prospectively and do not alter an existing Project Agreement unless both parties agree in writing.
These Terms are governed by the laws of the Kingdom of Morocco. Before starting formal proceedings, the parties will attempt in good faith to resolve any dispute through direct discussion.
Unless a Project Agreement identifies another process or forum, the competent courts of Tangier, Morocco will have jurisdiction. Any mandatory rights available under applicable law remain unaffected.
